This Massachusetts Investors Second Fund, Inc. Stock Certificate was signed by MFS Investment Management founder L. Sherman Adams in 1942. Sherman has been called the "Father of the Modern Mutual Fund". MFS Investment Management was founded by Sherman Adams in 1924 and is credited for creating the first Mutual Fund. Their first fund, Massachusetts Investors Trust is still operational today with over $600 billion under management.

Sherman Adams was one of the founding trustees of Massachusetts Investors Trust (MIT) which was the the first fund created by Massachusetts Financial Services (MFS). He was instrumental in creating their vision of allowing small investors access to the markets to build long-term wealth. This lead to the development of the first mutual fund and by his retirement in 1952, MIT has the world's largest open-end mutual fund.

During the Great Crash of 1929, the MIT was hit especially hard with an 83% loss. MFS sought to restore investor confidence and in 1932 created an in-house research department to build in-depth knowledge of portfolio securities. Analysts would pour over financial statements, market reports and perform site visits. Shortly after they would open the Massachusetts Investors Second Fund which would be built on these new research principles.
